Experience

• Independent CPA specializing in tax consulting for small corporations and mergers & acquisitions. Personally completed or managed others accountants with numerous acquisitions of insurance companies and commercial businesses. Also, worked with two state insurance departments on liquidation of insurance company assets.

• CFO for a start-up company that provided telecommunication services primary for AT&T.

The company had three operating facilities in the US and one in Scotland. Responsible for

all accounting and reporting for both US and foreign operations with revenues in excess of $100 million. Total employees grew to over 4,000. Managed staff of seven accountants and two payroll specialists. Managed employees’ 401-K plan.

• Controller for UICI and United Insurance Company, Inc. Responsible for all SEC reporting for UICI and its 13 subsidiaries. United Insurance Company (UIC) was the largest subsidiary. Responsible for all 10-K, 10-Q and 8-K filings. Responsible for Annual Statement filing for UIC. Responsible for preparation of all audit work papers for UICI and UIC. Also, prepared all 1120-L’s for insurance subsidiaries. Managed examinations of insurance companies by state insurance departments.

• CFO for a fully integrated jewelry manufacturer and retailer in Texas. The company had three manufacturing locations. Expanded the number of retail outlets by twelve with financing of store locations, inventory and lines of credit financing. Improved cash flow to eliminate all short term operating debt. Managed forward contracts for hedging of gold & silver inventory.

• CPA with KPMG Peat Marwick for 11 years. Ultimate position was Senior Manager and Training Coordinator on local level and instructor on national level. Primarily managed public company audits and financial reporting in the financial sector, i.e. insurance companies, bank holding companies, mutual funds and real estate investment trusts.

• Owner of Small Business Tax & Accounting, Inc., a small CPA firm that specializes in corporate taxation for small businesses. Over ten years of owning tax practice have increased

the revenue by 2.5 times from the original book of business acquired.
